SWOUCH PLATFORM — TERMS & CONDITIONS

1. About Swouch
Swouch ("the Platform") is an online directory and facilitator enabling independent businesses ("Shops") to connect and propose voucher swaps. Swouch is not a party to any contract or transaction between Shops, and does not act as agent, broker, reseller, payment provider, escrow service, or guarantor. All voucher swaps are private commercial agreements entered into directly and exclusively between the participating Shops. Swouch does not issue, guarantee, or underwrite any vouchers exchanged through the Platform.
2. Voucher Swaps & Business Responsibility
By registering, each Shop agrees to honour any voucher issued under a swap they accept. Vouchers are valid for 90 days from the date of swap confirmation. After 90 days, the voucher is considered expired. Any agreement to honour an expired voucher is a private arrangement solely between the two Shops concerned and is entirely outside the scope and responsibility of Swouch. Swouch accepts no liability for expired, unused, lost, disputed, or unredeemed vouchers. Swouch does not guarantee the value, authenticity, quality of goods or services, or performance of any voucher or business.
3. Swap Agreement
A Swouch is only activated when both Shops have agreed to the trade. Once accepted, both parties are legally bound by the terms of that swap. Neither party may unilaterally cancel an accepted swap. Swouch is not responsible for any failure by either party to honour an accepted swap.
4. Combining Offers & Discounts
Whether a Swouch voucher may be used in conjunction with other discounts, offers, promotions, loyalty rewards, or gift cards is entirely at the discretion of the redeeming Shop. Swouch does not set, mandate, or enforce any policy regarding the stacking or combining of offers. Any dispute arising from a Shop's decision to accept or decline the combination of a Swouch voucher with other offers is a private matter between the customer and the Shop concerned, and falls outside the scope and responsibility of Swouch.
5. Correct Shop Usage & Redemption
Swouch vouchers are valid only at the specific Shop named on the voucher. It is the sole responsibility of the redeeming Shop to verify, prior to redemption, that the voucher was issued to them. Vouchers redeemed at any Shop other than the Shop named on the voucher are done so at the sole risk of the parties involved. Any loss, dispute, refund, or reconciliation arising from a voucher being presented at, or accepted by, the incorrect Shop is a private matter between the Shops concerned. Swouch accepts no liability whatsoever for vouchers redeemed in error, incorrectly, or outside the terms displayed on the voucher.
6. No Guarantees
Swouch makes no representations or warranties regarding the legitimacy, solvency, quality, or reliability of any registered business, the success of any swap, or the availability or performance of any voucher. Businesses participate entirely at their own risk.
7. Business Verification
Swouch may carry out basic verification checks where practical but makes no warranty that any registered business is legitimate, properly licensed, or trustworthy. Users should conduct their own due diligence before entering any swap.
8. Limitation of Liability
To the maximum extent permitted by law, Swouch shall not be liable for any direct, indirect, consequential, incidental, or punitive loss, loss of profit, revenue, goodwill, reputation, or business opportunity, business interruption, or data loss. Swouch's total liability shall never exceed the subscription fees paid by the user in the previous 12 months. Each Shop participates entirely at their own risk.
9. Indemnity
You agree to indemnify and hold harmless Swouch, its owners, and staff from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Platform, any swap you enter into, or any breach of these Terms.
10. Platform Availability
The Platform is provided on an "As Is" and "As Available" basis. Swouch does not guarantee uninterrupted access, absence of errors, or protection against data loss, cyber attacks, or outages.
11. Right to Remove or Suspend
Swouch reserves the right to suspend or permanently remove any user, listing, or voucher at any time, with or without reason, and without liability or refund.
12. Acceptable Use
You agree not to use the Platform for fraud, misrepresentation, or illegal activity; spam, fake accounts, or scraping; offensive, defamatory, or harmful content; or any activity that may damage the Platform or other users.
13. Intellectual Property
Swouch owns all rights to the Platform, logo, branding, design, and software. Businesses retain ownership of their own logos and content submitted to the Platform.
14. Data Protection (GDPR)
Swouch collects and stores business name, contact name, email address, and location for the purpose of operating the Platform and sending swap-related notifications. We do not sell, share, or transfer your personal data to any third party for marketing purposes. Your email address is never publicly displayed on the Platform. You may request deletion of your data at any time by contacting us. By registering, you consent to the processing of your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Irish data protection law.
15. Payment & Subscription Terms
Where applicable, subscriptions are non-refundable except where required by Irish law. Swouch may change pricing with reasonable notice. Failed payments may result in suspension of access.
16. Changes to Terms
Swouch may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
17. Governing Law & Entire Agreement
These Terms are governed by the laws of the Republic of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts. These Terms constitute the entire agreement between you and Swouch. If any clause is found invalid, the remaining clauses remain in full effect.
